You paid for the mold. It sits in a factory in China with your part number stamped on it. So it's yours — right?
Physically, yes. Legally, the answer is more complicated than most buyers assume, and the gap between those two answers is where a lot of avoidable disputes come from. This guide separates two things that get treated as one in casual conversation — who owns the mold and who owns the design embodied in it — and walks through what actually needs to be in a contract to protect you, rather than what people tend to assume is automatic.

When you pay in full for a mold, you generally acquire ownership of the physical tool — the block of steel, the cavities, the cooling channels, the ejector system sitting in a press or in storage. That's a tangible asset, and full payment is usually enough to establish that it's yours, not the factory's collateral or the factory's asset to keep.
But the mold is a physical expression of a design. The design itself — the drawings, the 3D models, the DFM revisions, the tooling drawings that describe exactly how the cavity was engineered — is intellectual property. In many jurisdictions, including China, IP ownership does not automatically transfer just because a manufacturing fee was paid. Ownership of a design is a separate legal question from ownership of a manufactured object, and it typically needs to be addressed explicitly in a contract, not assumed.
This distinction matters most in three scenarios:
You supplied your own design and paid the factory to build tooling from it. You almost certainly already own that IP — but if the contract is silent on it, you have nothing in writing confirming the factory can't reuse elements of it.
The factory contributed to the design (DFM changes, structural improvements, moldflow-driven revisions). Who owns those specific contributions can become genuinely ambiguous without a clause addressing it.
You want the mold to be exclusive to you — meaning the design or the tool itself is never used to produce parts for anyone else, including your competitors.
None of these situations resolve themselves by default. They resolve based on what the purchase agreement actually says.
Buyers sourcing from China have often heard that an NNN agreement (Non-Disclosure, Non-Use, Non-Circumvention) is the standard protective document, as distinct from a Western-style NDA. The reasoning is sound in concept: a plain NDA only addresses confidentiality, while an NNN agreement is built to also address a factory using your design to manufacture for someone else, or bypassing you to sell directly to your own customer.
It's worth understanding what this kind of agreement is meant to do, in plain terms:
Non-Disclosure — the factory agrees not to share your drawings, specifications, or product details with outside parties.
Non-Use — the factory agrees not to use your design or tooling to manufacture the same or similar product for anyone else, including for their own account.
Non-Circumvention — the factory agrees not to go around you to sell directly to your downstream customers or contacts.
What this kind of agreement does not do is guarantee an outcome. Having a signed document is meaningfully better than having nothing, but no agreement — anywhere in the world — enforces itself. Its practical value depends on how it's drafted, whether it's enforceable under the governing law and jurisdiction it specifies, and whether a buyer is actually prepared to act on it if a violation occurs. Treat it as a real, useful tool for setting expectations and creating a documented basis for action — not as an insurance policy that removes risk on its own. This is exactly the kind of question worth putting in front of an attorney who works specifically in China trade law, rather than relying on a template pulled from a generic search result.
If exclusivity matters to your business — and for many buyers building a product around a specific design, it does — the protection isn't a verbal assurance that "we'd never do that." It's a specific clause in the purchase agreement or a supplementary manufacturing agreement that states, in plain terms, that the mold and the design it embodies will not be used to produce parts for any third party without your written consent.
A workable clause typically addresses:
Scope — does the restriction cover the exact design, or also close variations of it?
Duration — does exclusivity apply for the life of the mold, for a fixed number of years, or as long as the business relationship continues?
What happens to the mold at end of relationship — is it shipped to you, destroyed under supervision, or kept by the factory under continued restriction?
Remedy — what happens, contractually, if the clause is violated? A clause without a consequence attached is a statement of intent, not a protection.
A factory with nothing to hide should have no issue agreeing to reasonable terms like these. If a supplier pushes back hard on a straightforward non-use clause, that reaction itself is useful information before you commit to tooling.
It's common industry practice for a factory to retain a customer's mold on-site after production runs are complete, rather than shipping it out immediately. There are legitimate reasons for this: many buyers don't want to pay to ship and store a mold themselves between production cycles, and keeping it at the factory means faster turnaround on repeat orders.
The distinction that matters is between storage and use. A factory storing your mold between your own orders is standard and normally unproblematic. A factory using your mold — or a design derived from it — to produce parts for someone else without your knowledge is a different matter entirely, and it's exactly what a non-use clause is meant to prevent. If your contract doesn't distinguish between these two situations, you're relying entirely on trust rather than terms.
Reasonable questions to ask before committing tooling to a supplier:
Where will the mold physically be kept between production runs, and can I request its transfer or storage relocation?
What is your policy in writing on mold use outside of my purchase orders?
If I want the mold shipped to me or to a third-party molder at some point, what is the process and cost?
Paying for a mold gives you a physical asset. It does not, by itself, give you an enforceable claim over the design behind it, or a guarantee that your tooling will never be used for anyone else's benefit. Those protections come from what you put in the contract before tooling starts — not from goodwill, and not from assumption. A supplier who takes IP seriously will be straightforward about discussing these terms rather than treating the conversation as an accusation.
